Not surprisingly, Carl Icahn of Icahn Enterprises (NASDAQ: IEP ) and his supporters -- who have vehemently opposed the Dell buyout for months -- are loudly protesting the proposed rule change. (After all, it would presumably end their hopes of gaining control of Dell.) Pressure from shareholders who oppose the buyout will make it difficult or impossible for the Dell special committee to change the voting rules, even if it would make sense to do so.

Another environmental services player that looks ready to trigger a near-term breakout trade is GSE Holdings (GSE), which provides geosynthetic containment solutions for environmental protection and confinement applications. This stock has been hammered by the bears so far in 2013, with shares down big by 55%.
If you take a look at the chart for GSE Holdings, you'll notice that this stock recently ripped sharply higher back above its 50-day moving average of $2.32 a share with heavy upside volume. Following that move, shares of GSE have started to trend sideways between $2.60 on the downside and $2.95 on the upside. Shares of GSE are now starting to move within range of triggering a near-term breakout trade above the upper-end of its recent range.
Traders should now look for long-biased trades in GSE if it manages to break out above some near-term overhead resistance levels at $2.79 to $2.95 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 221,545 shares. If that breakout hits soon, then GSE will set up to re-test or possibly take out its next major overhead resistance levels at $3.50 to $4 a share.
Traders can look to buy GSE off any weakness to anticipate that breakout and simply use a stop that sits right below support at $2.60 or below its 50-day moving average at $2.32 a share. One could also buy GSE off strength once it takes out those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

Mattel (MAT), the world's largest toymaker, agreed to buy Mega Brands (MB) for $460 million, acquiring the biggest challenger to Lego A/S in the construction-toy market. Mattel is offering C$17.75 ($16) a share, according to a statement today, a 36 percent premium over yesterday's closing price. The board of Montreal-based Mega Brands unanimously approved the transaction, and investors holding 39 percent of the stock, including Chief Executive Officer Marc Bertrand and Fairfax Financial Holdings (FFH), agreed to the deal. The purchase of Mega Brands, the world's second-largest maker of snap-together blocks, will fill a product hole for Mattel. It doesn't have its own construction line, locking it out of a $4 billion market in the U.S. and Europe. The category also is a bright spot in a toy industry that has seen growth stall in the U.S. Mattel considered starting its own construction line, then opted instead to buy Mega Brands because it would be faster and less risky, Mattel CEO Bryan G. Stockton said on a call with reporters. Mattel got its first taste of construction in 2012 when it debuted blocks for its Barbie brand through a licensing deal with Mega Brands. Mattel realized that replicating this kind of expertise would take years, Stockton said. 'About Growth' "This acquisition is all about growth," Stockton said. "We see an opportunity to expand our brands in this category across boys, girls and preschool." Mattel shares rose 0.8 percent to $37.44 at 10:34 a.m. in New York. While most chains wait until 10 or 11 a.m. to begin offering their signature burgers, early risers will be able to skip straight to lunch at thousands of participating Burger King (BKW) locations. The fast food giant's betting that some morning commuters want more than just a breakfast burrito or a ham and egg sandwich for breakfast. Later this month Burger King is rolling out a "burgers for breakfast" campaign across 5,000 of its restaurants, offering its signature Whopper as well as a few other burgers and chicken sandwiches in the morning. Assuming that you don't want hash browns on the side, fries will also be made available. So will apple pie. Whopper, BK King and Original Fried Chicken sandwiches will be part of the chain's breakfast offerings. Will it confuse diners? Will the move complicate matters for employees manning the prep tables and fryers? Will the great variety stall patrons as they ponder the menu when it's time to order, creating longer wait times for food? The questions won't be answered right away, but Burger King doesn't have much of a choice. Breakfast is big business, and chains have to stand out one way or another. Another Shot in the Battle for Breakfast It isn't easy to make a difference in the morning. Just ask Wendy's (WEN), which has already retreated twice from the national breakfast market over the past decade. The first time it thought that it could set itself apart by offering sausage gravy-soaked biscuits and breakfast versions of its then-popular Frescata sandwiches. More recently it tried to stick closer to the McDonald's (MCD) playbook with oatmeal, breakfast burritos and biscuit sandwiches. Everything's peachy for residential REITs!
However, what terrible news exists for homebuilders could turn into fantastic news for the residential-REIT sector. You see, if lending rates begin to rise because the Fed is paring back its bond purchases, then it will remove the consumer incentive to purchase a home and will drive people back into renting -- which is great news for the big three residential REITS: Equity Residential, AvalonBay Communities (NYSE: AVB ) , and UDR (NYSE: UDR ) . - [By Sean Williams]
Take UDR (NYSE: UDR ) or Equity Residential (NYSE: EQR ) as perfect examples. Both have successfully been adding new communities and making FFO-accretive acquisitions in order to expand their rental portfolios. But, UDR and Equity Residential now boast debt-to-equity ratios in excess of 110%, with UDR carrying $3.5 billion in net debt and Equity Residential lugging around close to $11.6 billion in net debt. Although this debt has been refinanced or taken out in many cases as historically low lending levels, higher rates could stall community expansion for this sector and hurt bottom-line profits because of interest payments.
